Welcome to Digital Stockist (digitalstockist.net), a multi-vendor digital products marketplace operated by Digital Stockist by Spabi Exim (OPC) Private Limited (“Digital Stockist”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, applications (if any), seller dashboards, and related services (collectively, the “Platform” or “Services”).

Important notice: Digital Stockist is a marketplace that connects independent sellers with buyers. Unless expressly stated, we do not create, manufacture, store, or inspect third-party digital products listed by sellers. Please read these Terms carefully.

1. Accepting These Terms

By accessing or using any part of the Services (including browsing), you agree to be bound by these Terms and all policies referenced in them. If you do not agree, you must not use the Services.

You represent that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity, and “you” includes the entity.

Because Digital Stockist is a multi-vendor marketplace, sellers may independently process buyer information for order fulfillment and customer support. Sellers are responsible for their own compliance with applicable data protection and consumer laws.

4. Your Account

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your information as needed;
• Keep your login credentials confidential and secure;
• Be responsible for all activity that occurs under your account.

You must not use false information, impersonate any person or entity, or create accounts in a manner that violates these Terms. Accounts are generally not transferable. We may require identity or business verification for compliance, security, and fraud prevention.

5. Your Content

“Your Content” means any content you submit, post, upload, transmit, or otherwise make available through the Services, including listing images, product descriptions, shop names, profile content, messages, reviews, comments, and other materials.

5.1 Responsibility for Your Content

You are solely responsible for Your Content. You represent and warrant that:

• You have all rights, licenses, consents, and permissions necessary to post and use Your Content;
• Your Content does not infringe, misappropriate, or violate any third-party rights (including intellectual property, privacy, or publicity rights);
• Your Content complies with these Terms and applicable laws.

5.2 License You Grant to Digital Stockist

By posting Your Content, you grant Digital Stockist a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, display, translate, distribute, and create derivative works of Your Content solely for the purposes of operating, providing, securing, improving, and promoting the Services, including marketing and display across channels.

You retain ownership of Your Content, subject to the license granted above.

5.3 Content Standards

You agree not to post, list, or transmit any content that is unlawful, deceptive, infringing, defamatory, obscene, harassing, hateful, or otherwise harmful, or that violates our policies. We may remove or disable access to content at our discretion, including to comply with legal requirements or to protect users and the Platform.

6. Your Use of Our Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services.

6.1 Prohibited Activities

You agree that you will not:

• Use the Services in violation of any applicable law, regulation, or court order;
• Engage in fraud, deception, or misrepresentation;
• Interfere with or disrupt the Services, servers, or networks;
• Upload viruses, malware, or other harmful code;
• Scrape, crawl, spider, or use automated means to access the Services without our permission;
• Reverse engineer, decompile, or attempt to extract source code from the Services except where permitted by law;
• Infringe intellectual property rights or violate third-party rights;
• Attempt to bypass security features or access restricted areas of the Platform.

6.2 Fees, Payments, and Taxes

Fees, payment processing, and settlement terms (where applicable) are described in our Fees & Payments Policy and related seller/buyer policies. You are responsible for paying applicable fees and charges and for any taxes that apply to your transactions, except where we are required by law to collect and remit taxes.

7. Marketplace Terms (Buyers and Sellers)

Digital Stockist provides a venue for the listing and sale of digital products by independent sellers. Unless explicitly stated otherwise, the purchase contract for seller-listed digital products is between the buyer and the seller. Sellers are responsible for:

• Accurate listings, including descriptions, license terms, and compatibility requirements;
• Delivering digital products as described and providing reasonable support as stated in their listing;
• Complying with applicable consumer, tax, and intellectual property laws;
• Handling disputes and refund/issue requests according to their listing terms and our policies.

Buyers are responsible for reviewing listing details, license terms, and requirements before purchase. Digital products may be non-returnable once delivered or accessed, except where required by applicable law or platform policies.

8. Termination

8.1 Termination by You

You may stop using the Services at any time. If you have an account, you may request closure through your account settings (if available) or by contacting us.

8.2 Termination or Suspension by Us

We may suspend or terminate your access to the Services (and/or remove content) if we reasonably believe you have violated these Terms, our policies, or applicable laws, or if your use creates risk for users, the Platform, or Digital Stockist.

We may also modify, suspend, or discontinue any part of the Services at any time. To the fullest extent permitted by law, we will not be liable for any impacts of such changes, including loss of revenue or access.

8.3 Effect of Termination

Upon termination, your right to use the Services will cease. Certain provisions of these Terms will survive termination, including sections relating to intellectual property, licenses, disclaimers, limitation of liability, indemnification, and dispute resolution.

9. Warranties and Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected. Your use of the Services is at your own risk.

Digital Stockist does not guarantee the quality, legality, accuracy, or suitability of seller-listed products or user-generated content. Any issues related to a purchase should be addressed with the seller in the first instance, subject to platform policies and applicable law.

10. Limitation of Liability

To the fullest extent permitted by law, Digital Stockist (including its directors, officers, employees, and affiliates) will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising from or related to your use of (or inability to use) the Services.

To the fullest extent permitted by law, Digital Stockist’s total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the amount paid by you to Digital Stockist in the 12 months preceding the event giving rise to the claim, or INR 10,000, whichever is greater, unless a greater liability is required by applicable law.

Some jurisdictions do not allow certain limitations of liability. Where prohibited, these limitations will apply only to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Digital Stockist and its directors, officers, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your access to or use of the Services;
• Your Content;
• Your transactions as a buyer or seller;
• Your violation of these Terms, policies, or applicable law;
• Your infringement or alleged infringement of any third-party rights.

12. Disputes Between Users

We are not a party to disputes between buyers and sellers or between users and third parties. You agree that any disputes should be resolved directly between the parties involved. We may, but are not obligated to, provide tools or support to facilitate resolution. You release Digital Stockist from claims arising out of disputes with other users or third parties, to the fullest extent permitted by law.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles.

Subject to any mandatory consumer protection laws, courts located in Navi Mumbai, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the Platform and/or by other communications where appropriate. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree, you must stop using the Services and close your account.

15. Miscellaneous

• Entire Agreement: These Terms and incorporated policies constitute the entire agreement between you and Digital Stockist regarding the Services.
• Severability: If any provision is found invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.
• No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: We may assign our rights and obligations under these Terms. You may not assign your rights or obligations without our prior written consent.
• Electronic Communications: By using the Services, you agree to receive communications electronically (e.g., via email or through the Platform), and such communications satisfy legal requirements for written notice.
